Terms of Service

Welcome to JADE254. These Terms of Service ("Terms") govern your access to and use of the JADE254 marketplace platform, including all services, features, content, and functionality offered through our website. By creating an account or using JADE254 in any way, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

1. About JADE254

JADE254 is a Kenyan online marketplace that connects buyers, sellers, affiliate marketers, and delivery riders. We facilitate the listing, purchase, and delivery of physical and digital products across Kenya. Payments are processed securely via Paystack.

2. Eligibility and Account Registration

• You must be at least 18 years old to create an account and use JADE254.
• You may register using your email address or Google account. By using Google Sign-In, you authorize us to receive your basic Google profile information (name, email, profile picture) as described in our Privacy Policy.
• You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account.
• You must provide accurate, complete, and current information during registration and keep it updated.
• Each person may maintain only one account. Creating duplicate or fraudulent accounts is strictly prohibited.
• We reserve the right to suspend or permanently ban accounts that violate these Terms.

3. Buyer Terms

• Buyers may browse and purchase products listed on JADE254. All prices are displayed in Kenyan Shillings (KES).
• Payment is due at the time of order. Orders are confirmed only after successful payment via Paystack.
• Delivery timeframes and fees vary by location. Estimated delivery times are shown at checkout and are not guaranteed.
• You must provide an accurate delivery address. JADE254 is not liable for failed deliveries due to incorrect address information.
• If you have an issue with your order, contact us via WhatsApp or phone within 48 hours of delivery.
• Refund eligibility depends on the seller's return policy and the nature of the product. Digital products are generally non-refundable once accessed.

4. Seller Terms

• Sellers must apply and be approved by JADE254 admin before listing products.
• Sellers are responsible for the accuracy of product listings, including descriptions, images, prices, and stock levels.
• Sellers must not list counterfeit, prohibited, or illegal products. Violations result in immediate account suspension.
• Seller earnings are credited to their JADE254 wallet after order fulfilment. Withdrawal requests are subject to admin approval.
• JADE254 charges a commission on each sale as determined at the time of approval. Commission rates may change with 14 days' notice.
• Sellers are responsible for ensuring products are genuine, safe, and comply with Kenyan consumer protection laws.

5. Affiliate Terms

• Affiliate status is unlocked by purchasing a qualifying digital product on JADE254.
• Affiliates earn commissions on sales generated through their unique referral links or discount codes.
• Commissions are tracked automatically and credited to the affiliate's wallet after the referred order is confirmed as paid.
• Affiliates must not misrepresent JADE254 products, make false income claims, or engage in spam or deceptive marketing.
• JADE254 reserves the right to withhold or reverse commissions suspected of being generated through fraudulent activity.
• Affiliate commission rates and tier requirements may be updated by JADE254 admin at any time.

6. Rider Terms

• Riders must register and be approved before accepting delivery jobs on JADE254.
• Riders are independent contractors, not employees of JADE254.
• Riders are responsible for timely and safe delivery of orders to customers.
• Rider earnings are released to their available balance after a holding period following confirmed delivery.
• Riders must provide accurate identity documents. Fraudulent applications will be permanently banned and reported to authorities.
• Rider earnings are paid out via M-Pesa. Riders are responsible for providing and maintaining a valid M-Pesa number.

7. Digital Products

• Digital products (PDFs, video courses, templates, prompt packs) are delivered electronically and are non-returnable once accessed or downloaded.
• You are granted a personal, non-transferable licence to use purchased digital products. You may not resell, redistribute, or share them without written authorisation.
• JADE254 does not guarantee specific results from digital products. Earnings examples are illustrative only.

8. Prohibited Conduct

You agree not to:

• Use JADE254 for any unlawful purpose or in violation of these Terms
• Impersonate another person or entity
• Post false, misleading, or fraudulent product listings
• Attempt to circumvent payment systems or exploit affiliate commissions fraudulently
• Harass, threaten, or harm other users, sellers, or riders
• Attempt to reverse-engineer, scrape, or copy the platform's code or data
• Introduce malware or conduct any security attacks against JADE254

9. Payments and Refunds

All payments are processed by Paystack, a licensed payment service provider. JADE254 does not store payment card data. By making a payment, you also agree to Paystack's Terms of Service. Refunds, where applicable, are processed back via the original payment method and may take 5–10 business days depending on your bank.

10. Intellectual Property

All content on JADE254 — including logos, design, text, graphics, and software — is the property of JADE254 or its content suppliers and is protected by Kenyan and international intellectual property laws. You may not use, reproduce, or distribute any content from JADE254 without our prior written permission.

11. Disclaimer of Warranties

JADE254 is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses. We do not endorse or guarantee the quality, safety, or legality of products listed by third-party sellers.

12. Limitation of Liability

To the fullest extent permitted by Kenyan law, JADE254 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or goodwill. Our total liability for any claim shall not exceed the amount you paid for the transaction giving rise to the claim.

13. Account Termination

JADE254 reserves the right to suspend or terminate any account at any time, with or without notice, for violations of these Terms, fraudulent activity, or any conduct that we determine to be harmful to users, sellers, or the platform. Terminated accounts may not re-register without express written permission from JADE254.

14. Changes to These Terms

We may update these Terms of Service from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of JADE254 after changes take effect constitutes your acceptance of the new Terms. We recommend checking this page periodically.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising out of or relating to these Terms or your use of JADE254 shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the jurisdiction of the Kenyan courts.
