You agree to provide accurate and current information and to keep that information updated.

You are responsible for:

maintaining the security of your account; keeping passwords confidential; controlling access to your devices; controlling account permissions; promptly reporting unauthorized access.

You are responsible for activity occurring through your account unless you can demonstrate that such activity occurred without your authorization and despite reasonable security measures.

Business Users are responsible for:

assigning appropriate permissions; removing access when a person leaves the business; protecting business credentials; reviewing account activity; ensuring authorized persons use the system appropriately.

JADE254 may provide permission controls, but Business Users remain responsible for determining who should have access to their business data.

  1. Public Business Profiles

Certain JADE254 services are designed to make business information publicly discoverable.

If you publish a business profile, you understand that information designated as public may be visible to:

customers; visitors; other users; search engines; other internet users.

You should not publish personal information that you do not intend to make publicly available.

  1. Your Ownership of Content

Subject to third-party rights, you retain ownership of the business and other content you submit to JADE254.

By submitting content to JADE254, you grant us the limited rights necessary to host, store, reproduce, process, display, transmit and otherwise use that content solely to provide, secure, maintain and improve the relevant Services.

For public business profiles, you additionally grant JADE254 the rights necessary to display and distribute the public information through the applicable JADE254 service.

We do not acquire ownership of your underlying business, products or intellectual property merely because you use JADE254.

  1. Intellectual Property

JADE254 and its licensors own all rights in the JADE254 Services, including where applicable:

software; source and compiled code; interfaces; designs; trademarks; logos; branding; documentation; databases; visual elements; proprietary technology; system architecture; underlying models and technology.

You may not copy, modify, distribute, sell, lease or create derivative works from JADE254 technology except where expressly permitted.

JADE254, JADE254 Book, JADE254 POS and associated names, logos and branding may be trademarks or protected marks of their respective owners.

  1. Payments and Third-Party Payment Providers

Some JADE254 services may enable payment functionality or connect to payment providers.

Payments may involve third-party providers including mobile-money, card, banking or other electronic-payment services.

Third-party payment providers may have separate:

terms; fees; transaction rules; privacy policies; identity requirements; settlement rules; refund procedures.

JADE254 does not control the operation of independent payment networks or providers.

A payment may be declined, delayed, reversed, held or otherwise affected by a third-party provider.

Where applicable, you remain responsible for complying with payment-provider requirements and applicable financial laws.

  1. Fees and Subscriptions

Some JADE254 Services may be free, while others may require payment.

Before purchasing a paid Service, applicable pricing and billing terms will be presented to you.

You agree to pay applicable charges when due.

Unless expressly stated otherwise:

taxes may apply; third-party payment fees may apply; prices may change for future purchases or renewal periods; promotional pricing may have separate conditions.

Where recurring subscriptions are offered, the applicable subscription page will state the renewal and cancellation terms.

We will not treat an undisclosed recurring charge as agreed merely because you used a free or unrelated JADE254 service.

  1. Refunds and Cancellations

Refunds depend on the Service purchased, the applicable purchase terms and applicable law.

Where JADE254 offers a refund policy, the specific product or subscription terms may contain additional conditions.

Nothing in these Terms excludes consumer rights or other mandatory remedies that cannot lawfully be excluded.

maintaining appropriate device security; ensuring devices have sufficient storage; installing updates; avoiding unauthorized access; allowing synchronization to complete when connectivity is available.

Offline functionality may be affected by device failure, loss of connectivity, software errors or other technical conditions.

Where synchronization conflicts occur, JADE254 may apply system rules designed to preserve data integrity.

You must not use JADE254 AI services as a substitute for professional legal, medical, financial, tax, accounting or other professional advice.

You remain responsible for decisions made using AI-assisted functionality.

  1. WhatsApp and Messaging Services

Where JADE254 integrates with WhatsApp or another messaging platform, those services are also subject to the applicable platform's terms, policies and technical requirements.

JADE254 cannot guarantee delivery of every message.

By using JADE254, you acknowledge that your information may be processed as described in the Privacy Policy.

This may include laws concerning:

taxation; consumer protection; privacy; employment; payments; business licensing; intellectual property; advertising; electronic communications; record keeping.

JADE254 may provide technology that assists with business operations, but using JADE254 does not by itself make your business legally compliant.

material breach of these Terms; fraud; unlawful activity; security risks; abuse of the platform; non-payment; unauthorized access; circumstances creating legal or operational risk.

Where appropriate, we may provide notice and an opportunity to remedy a breach.

Some provisions may continue after termination, including provisions relating to intellectual property, payment obligations, liability, dispute resolution and data retention.

After account termination, JADE254 may retain certain information where necessary for:

legal compliance; financial records; fraud prevention; security; dispute resolution; legitimate business purposes; enforcing agreements.

Where information is no longer required, it may be deleted, anonymized or otherwise securely handled according to the Privacy Policy.

unlawful use of the Services; violation of these Terms; infringement of another person's rights; unauthorized use of personal information; fraudulent activity; content submitted by you.

This section does not apply to the extent that a claim is caused by JADE254's own unlawful conduct or liability that cannot legally be transferred to you.

  1. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

  1. No Waiver

A failure by JADE254 to enforce a provision of these Terms does not constitute a permanent waiver of that provision or our right to enforce it later.

  1. Entire Agreement

These Terms, together with documents expressly incorporated into them, including the JADE254 Privacy Policy and applicable product-specific terms, form the agreement governing your use of the relevant JADE254 Services.

If a product-specific agreement conflicts with these Terms, the product-specific agreement will control to the extent of the conflict.

These Terms are governed by the laws of Kenya, unless mandatory law applicable to you requires otherwise.

Bro, there are 6 things I would NOT publish yet

The content above is deliberately designed so we don't make legal claims we haven't verified about JADE254.

Before you put it live, we need to fill in the actual legal identity and operational facts. In particular, we should verify whether AGNP is the legal contracting entity, the parent entity, or simply the wider foundation/brand, because your Terms and Privacy Policy should name the entity that actually accepts the contract and determines the relevant processing.

We also need to lock down the real privacy/security/legal contact emails, registered address, subscription/refund model, countries served, payment providers actually connected, AI providers actually processing user data, hosting/data locations, and the exact deletion/retention behavior of the live platform.

That matters much more legally than making the pages sound sophisticated. Kenya's framework puts substantive obligations on controllers/processors, including data protection by design, retention, data-subject rights and breach response.

Once those facts are confirmed, these two pages can become the canonical legal foundation for the entire JADE254 ecosystem, rather than generic website policies
